Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Gullabs website, studio, and related services (collectively, the “Service”) provided by Gullabs (“Gullabs”, “we”, “us”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” refers to it.

If you do not agree to these Terms, do not use the Service.

• You must be at least 18 years old, or the age of majority where you live, to use the Service.
• You are responsible for keeping your login credentials confidential and for all activity under your account. Tell us promptly at support@gullabs.com if you suspect unauthorized use.
• Information you provide about yourself and your brand must be accurate and kept up to date.

Gullabs lets you generate and edit images, video, and related marketing content from prompts, scripts, and assets you provide, and applies your brand's styling (“Brand DNA”) to what you create. Generation is performed using a combination of our own systems and third-party AI models. Features, models, and limits may change over time.

We may offer beta or preview features. These are provided as-is, may be modified or withdrawn at any time, and may be subject to additional terms.

• Credits. Generations consume credits. The cost of each generation is shown before you confirm it, and how credits are allocated, expire, and are refunded for failed generations is described in the Credit Usage Guide, which forms part of these Terms.
• Subscriptions. Paid plans renew automatically at the end of each billing period until cancelled. You can cancel at any time from your subscription page; cancellation takes effect at the end of the current period.
• Payments. Payments are processed by third-party payment providers. By providing a payment method you authorize us to charge all fees due. Prices exclude applicable taxes unless stated otherwise.
• Refunds. Fees are non-refundable except where required by law or expressly stated by us. Credits returned for failed or cancelled generations are credited back to your balance, not refunded as money.
• Price changes. We may change prices or plan allocations with reasonable notice. Changes apply from your next billing period.

“Inputs” means anything you provide to the Service: prompts, scripts, images, video, audio, website URLs, brand assets, and account details. You keep all rights you have in your Inputs.

You grant Gullabs a worldwide, non-exclusive, royalty-free license to host, process, reproduce, and modify your Inputs solely to operate, secure, and improve the Service for you, including sending them to the AI model providers we use to fulfil your requests. This license ends when you delete the content or your account, except where we must retain it to comply with law or where it has already been incorporated into content you exported.

You represent that you have all rights needed to provide your Inputs and to let us use them as described, including rights in any brand assets, product images, music, and people who appear in them.

“Output” means the images, video, and other content the Service generates for you. As between you and Gullabs, and subject to these Terms and the Commercial Usage policy, you own the Output you create and may use it commercially.

• Because AI models are probabilistic, Output may not be unique; other users may receive similar Output from similar Inputs. We do not guarantee that Output is free of third-party rights, accurate, or fit for a particular purpose.
• You are responsible for reviewing Output before you publish it and for how you use it, including compliance with advertising, consumer-protection, and platform rules.
• We may use de-identified, aggregated data about how the Service is used to improve it. We do not use your Inputs or Output to train models made available to other customers without your consent.

You agree not to use the Service to:

• Create content that is illegal, defamatory, harassing, hateful, sexually explicit involving minors, or that promotes violence or self-harm.
• Impersonate a real person, or create realistic depictions of a real person's face, voice, or likeness without their consent.
• Infringe or misappropriate anyone's intellectual property, privacy, or publicity rights, including by uploading brand assets you are not authorized to use.
• Produce deceptive content such as fake reviews, fraudulent advertising, or political disinformation.
• Reverse engineer, scrape, resell, or provide automated access to the Service or the models behind it, or circumvent usage limits.
• Interfere with the Service's security or operation, or use it to develop a competing model or service.

The Service, including its software, design, templates, Brand DNA technology, trademarks, and all content we provide (other than your Inputs and Output), is owned by Gullabs or its licensors and is protected by intellectual property laws. Except for the rights expressly granted in these Terms, no rights are granted to you. If you send us feedback, we may use it without obligation to you.

The Service relies on third-party AI models, hosting, and payment providers. Your use of the Service may also be subject to those providers' acceptable-use policies, which we will apply to requests routed to them. We are not responsible for third-party services we do not control, and links to other websites are provided for convenience only.

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if continued use would create risk for us, other users, or third parties. Where practical, we will notify you and give you an opportunity to export your content. On termination, unused credits are forfeited except where the law requires otherwise.

THE SERVICE AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT OUTPUT WILL MEET YOUR REQUIREMENTS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

TO THE FULLEST EXTENT PERMITTED BY LAW, GULLABS AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS (USD $100) IF YOU HAVE NOT PAID US.

You will defend, indemnify, and hold harmless Gullabs from claims, damages, and expenses (including reasonable legal fees) arising from your Inputs, your use of Output, or your breach of these Terms, including any claim that your Inputs or your use of Output infringes a third party's rights.

We may modify the Service at any time. We may also update these Terms; when we make material changes we will post the updated Terms here with a new “Last updated” date and, where appropriate, notify you by email or in the Service. Continued use after changes take effect means you accept the updated Terms.

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. Any dispute that cannot be resolved informally will be brought exclusively in the courts located in Vancouver, British Columbia, and you consent to their jurisdiction. Nothing in this section limits any consumer rights you have under the mandatory laws of your country of residence.
